Terms of Service

Fair terms, no tricks

Here's what this actually means:

  • 1. You send us WhatsApp messages, we turn them into invoices and quotes using AI. That's the deal.
  • 2. Your invoices and business data belong to you. We just help you create and manage them instantly.
  • 3. AI isn't perfect. Always check your quotes and invoices before sending them to customers. You're responsible for what goes out.
  • 4. We charge a monthly subscription. You can cancel anytime. We don't lock you in.
  • 5. We're an Australian company and New South Wales (NSW) law applies.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of the easyMate service ("Service"), operated by easyMate ("Company", "we", "us", "our"), a company registered in Australia. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

The Service provides AI-powered invoicing, quoting, and financial management tools for tradies, delivered primarily through WhatsApp messaging.

2. Eligibility

The Service is intended for use by individuals and businesses engaged in trade or professional services. By using the Service, you represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into a binding agreement;
  • You are using the Service for legitimate business purposes; and
  • You are not prohibited from using the Service under any applicable law.

3. The Service

easyMate provides the following services:

  • AI-powered creation of invoices, quotes, and estimates from natural language WhatsApp messages;
  • Financial record-keeping and expense tracking;
  • GST calculation and reporting assistance;
  • Stripe-based Payment facilitation and invoice delivery to your customers; and
  • Such other features as we may introduce from time to time.

The Service uses artificial intelligence to interpret your messages and generate documents. While we strive for accuracy, AI-generated content may contain errors. You are solely responsible for reviewing and approving all documents before they are sent to your customers or submitted to any third party, including the ATO (Australian Taxation Office).

4. Your Account

Your account is associated with your WhatsApp phone number. You are responsible for:

  • Maintaining the security of your phone and WhatsApp account;
  • All activity that occurs through your account;
  • Ensuring the accuracy of information you provide to us; and
  • Notifying us immediately if you believe your account has been compromised.

5. Fees and Payment

The Service is offered on a subscription basis. Current pricing is displayed on our website and may be updated from time to time with reasonable notice.

  • Fees are charged monthly in advance;
  • All fees are quoted in AUD (Australian Dollars) and inclusive of GST where applicable;
  • We may offer a free tier or trial period at our discretion;
  • Failure to pay may result in suspension or termination of your account; and
  • Refunds are provided at our discretion, except where required by Australian Consumer Law.

6. Intellectual Property

Your content: You retain all rights to the business information, invoice content, and other data you provide to us. By using the Service, you grant us a limited licence to process this data solely for the purpose of providing the Service to you.

Our service: The easyMate platform, including its software, AI models, design, branding, and documentation, is owned by easyMate and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of our Service.

7. Acceptable Use

You agree not to use the Service to:

  • Create fraudulent invoices or engage in any form of financial fraud;
  • Violate any applicable law, regulation, or third-party rights;
  • Transmit harmful, offensive, or illegal content;
  • Attempt to gain unauthorised access to our systems or other users' data;
  • Interfere with or disrupt the Service or its infrastructure; or
  • Use the Service for money laundering or terrorist financing.

We reserve the right to suspend or terminate your account immediately if we reasonably believe you are in breach of this section.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence to process your messages and generate financial documents. You acknowledge and agree that:

  • AI-generated outputs may contain inaccuracies, errors, or omissions;
  • You are solely responsible for verifying the accuracy of all generated documents before use;
  • easyMate does not provide financial, tax, or legal advice;
  • The Service is a tool to assist you, not a replacement for professional judgement; and
  • We are not liable for any loss arising from your reliance on AI-generated content without proper verification.

9. Limitation of Liability

To the fullest extent permitted by Australian law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied;
  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components;
  • Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim; and
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

Nothing in these Terms excludes or limits our liability for any liability that cannot be excluded or limited under Australian Consumer Law.

10. Indemnification

You agree to indemnify and hold harmless easyMate, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your breach of these Terms, or your violation of any applicable law or third-party rights.

11. Termination

Either party may terminate this agreement at any time:

  • By you: You may cancel your subscription at any time by contacting us, or by using the Account Deletion Tool. Cancellation takes effect at the end of your current billing period.
  • By us: We may suspend or terminate your account immediately for breach of these Terms, or with 30 days' notice for any other reason.

12. Modifications to Terms

We may modify these Terms from time to time. We will provide reasonable notice of material changes via WhatsApp or other appropriate means. Your continued use of the Service after such notice constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must cease using the Service.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
